By accessing or using Chairman, a service provided by Blue Orchid ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

Chairman is an AI-powered personal assistant that helps you organize information, manage tasks, and interact through various channels including web, mobile, SMS, and messaging integrations. The service uses artificial intelligence to process your requests and provide responses.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 13 years old to use this service.
  • One person may not maintain more than one account.
  • You are responsible for all activities that occur under your account.

4. SMS Messaging Terms

By opting in to SMS messaging:

  • You consent to receive automated SMS messages from Chairman.
  • You confirm that you are the owner or authorized user of the phone number provided.
  • You understand that message and data rates may apply.
  • You can opt-out at any time by replying STOP to any message.

5. Acceptable Use

You agree NOT to use Chairman to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Send spam, unsolicited messages, or harass others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Generate content that is illegal, harmful, threatening, abusive, or defamatory
  • Impersonate any person or entity
  • Use the service for any fraudulent or deceptive purpose
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the service without authorization

6. AI-Generated Content

Chairman uses artificial intelligence to generate responses. You acknowledge that:

  • AI-generated content may not always be accurate, complete, or appropriate.
  • You are responsible for reviewing and verifying AI-generated content before relying on it.
  • AI responses should not be considered professional advice (legal, medical, financial, etc.).
  • We do not guarantee the accuracy or reliability of AI-generated content.

7. Your Content

You retain ownership of content you submit to Chairman. By using our service, you grant us:

  • A license to process your content to provide the service.
  • The right to store your content on our systems.
  • Permission to use anonymized, aggregated data to improve our services.

You are solely responsible for ensuring you have the right to submit any content you provide.

8. Intellectual Property

The Chairman service, including its design, features, and content (excluding user content), is owned by Blue Orchid and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our service without permission.

9. Payment and Billing

  • Some features may require a paid subscription.
  • Payments are processed securely through third-party payment providers.
  • Subscription fees are billed in advance on a recurring basis.
  • You can cancel your subscription at any time; access continues until the end of the billing period.
  • Refunds are provided at our discretion.
  • We reserve the right to change pricing with reasonable notice.

10. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any interruption or cessation of the service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUE ORCHID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Blue Orchid and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service or violation of these terms.

14. Termination

We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the service ceases immediately.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in San Francisco, California.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
